What it is

A full list of the software, hardware, and systems the business actually runs on — point of sale, accounting, scheduling, any custom tools — and who owns and administers each one.

Why it matters

Systems licensed to the owner personally, or processes that live entirely in someone's head instead of a shared system, are a common source of quiet post-close chaos: losing access to core software the day the old owner's account gets shut off, or discovering a critical workflow has no documentation at all.

What to look for

  • Core systems licensed to the owner personally rather than to the business entity
  • No documented admin access or a clear password-handoff plan for closing
  • Critical processes run entirely through spreadsheets with no backup or redundancy
  • Outdated or unsupported software with no migration plan in place
